MY STAFF SHOP Terms and Conditions

Please read these conditions carefully before using My Staff Shop. Certain parts of My Staff Shop are subject to additional terms and conditions which you will find on the relevant sections.

ABOUT US AND OUR SERVICE

Who we are
My Staff Shop Limited, trading as My Staff Shop, is the owner and operator of this website. My Staff Shop Limited is a company registered in England and Wales under company number 7710593 and whose registered office is at 2 Charlesworth Court, Knights Way, Battlefield Enterprise Park, Shrewsbury SY1 3AB.

We refer to ourselves as "My Staff Shop", "we", "us" or "our" in this document.

What we do
My Staff Shop is a membership organisation for providing rewards to employees of participating companies. It is an on-going subscription service which means that membership is subject to continued participation by agreement with us either as part of an employer sponsored scheme or as an individual member.

What we don't do

Unless we specifically say otherwise, we act only as an intermediary in providing access to Merchants offers; we are not a Merchant and we do not sell, provide or supply any Merchant Products/Services.

If you are using a smartphone or mobile device, please ensure you turn off "prevent cross site tracking" on your web browser settings. If this is not turned off, your purchase will not be tracked and Reward Beans not allocated.

When you access a discount offer you do so on the terms and conditions of the Merchant and we are not part of the contract between you and the Merchant. We do not assume responsibility for any contracts between you and any Merchant for the supply of any goods and/or services supplied by the Merchant.

Where you apply to purchase a voucher or to redeem your voucher or discount you form a contract between yourself and the Merchant. You should carefully review the terms relating to such contracts.

In addition parts of our site which provide access to such offers are provided by third parties and their terms and conditions, available on the relevant pages of the site, apply to any transaction completed through those third parties. When you provide your personal data to such third parties they and not us, control the use of your data. You should make sure you read the privacy policy applicable to those third parties.

By placing an order through My Staff Shop, you confirm that you have read, understood and agree to the applicable Terms and Conditions of Sale in their entirety as well as to our General Terms and Conditions.

My Company Benefits
The My Company Benefits Section of My Staff Shop enables you to access benefits and information which are offered directly by your employer. They are added to My Staff Shop for convenience and accessibility only and My Staff Shop has no responsibility for the contents of My Company Benefits.

 

GENERAL TERMS AND CONDITIONS

1. ABOUT THIS DOCUMENT

1.1 What this document is: This document and any other documents referred to in it, tells you the terms and conditions which govern your use of this website. Please read the terms and conditions carefully and make sure you understand them before requesting access to the Service. By requesting the Service, you agree to be bound by these terms and conditions all of which are called the "Agreement".
1.2 Changes to this Agreement: These terms and conditions were last updated on 9th Sep 2020. We reserve the right amend these Terms at any time. You will be bound by the Terms which you agree to when you use the Service.
1.3 Definitions: In this Agreement we use various defined terms. You will know that they are defined because they begin with a capital letter. These are all defined at the end of this Agreement.
1.4 Data Protection: Please review our Privacy Notice which also governs your use of the Service

2. ABOUT YOUR ACCOUNT

2.1 Registering with us: You must Register with us to use our Service. We reserve the right to decline a new Registration or to cancel an Account at any time.
2.2 How to register: To Register you need to supply us with your name, postcode, email address and some personal information.
When you Register your Account you will need to supply us with a password. You must keep the password confidential and notify us if any unauthorised third party becomes aware of that password or any unauthorised use of your email address or any breach of security known to you. You agree that (so long as this is not the fault of My Staff Shop) we are not responsible or liable in the event that a person to whom your password is disclosed uses our site and Service.
2.3 Valid email address: During Registration all accounts must be registered with a valid email address that you access regularly. Any Accounts which have been Registered with someone else’s email address or with temporary email addresses may be closed without notice. We may require users to re-validate their accounts if we believe that they have been using an invalid email address.
2.4 Email communication: We will communicate with you by email or by posting notices on the Site. You consent to receive communications from us electronically and you agree that all notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, unless mandatory applicable laws specifically required a different form of communication.
2.5 Length of membership: All subscriptions to the Service are on an automatic renewing basis. You can cancel your subscription at any time by contacting us by email.  
2.6 Membership Fee: A Membership Fee may be payable in some circumstances, for example, where payment is not made by a third party such as an employer. In such cases you will be advised of the amount and frequency of your subscription when you apply to become a Member. The Membership Fee is payable by you by direct debit from the bank account details of which you provide to us on your application to become a Member. On completion of registration of your payment details you will receive a welcome email from us confirming your transaction. It is up to you to notify us if you do not receive our welcome email.
2.7: Subscriptions are not refundable unless you cancel your membership within 7 days after receiving our welcome email.

3. YOUR OBLIGATIONS

3.1 Accurate information: You promise us that all information provided on Registration and contained as part of your Account during the course of this Agreement is true, complete and accurate and that you will promptly inform us of any changes to such information by updating the details in your Account.
3.2 Your use of this Site and our Service: The Site and our Service are for your non-commercial, personal use only and not for business purposes, except as separately permitted by us in writing. You may access the Site through standard web and mobile browsers and similar consumer applications, but not with any robot, spider, offline reader, site search retrieval application or other manual or automatic device, tool or process to retrieve, index or data mine our Site via scrapping or otherwise
3.3 Things you cannot do: Without limitation, you undertake:
3.3.1 not to use or permit anyone else to use the Site or the Service:
(i) in any way that causes, or is likely to cause the Service to be interrupted, damaged or impaired in any way;
(ii) for any fraudulent purpose or in connection with a criminal offence or other unlawful activity; or
(iii) to cause annoyance, inconvenience or anxiety.
3.3.2 not to resell the Site or the Service;
3.3.3 not to furnish false data including false names, addresses and contact details and fraudulent use of credit/debit cards;
3.3.4 not to use or permit anyone else to use the Site or the Service for spamming. Spamming includes:
(i) the bulk sending of unsolicited messages, or the sending of unsolicited messages which provoke complaints from recipients;
(ii) the sending of junk mail;
(iii) the use of distribution lists which include people who have not given specific permission to be included in such distribution process;
3.3.5 to use the Site and the Service only in accordance with this Agreement.

3.4 System security: You agree that you will not, and will not allow any other person to:
3.4.1 violate or attempt to violate any aspect of the security of the Installation;
3.4.2 modify, reverse engineer, disassemble, decompile, copy, or cause damage or unintended effect to any portion of the Site, or ay software used on the Site;
3.4.3 access the Site or Service in such a way as to, or commit any act that would or does, impose an unreasonable or disproportionately large load on our infrastructure.

4. INTELLECTUAL PROPERTY

4.1 All intellectual property rights (including copyright, patents, trademarks, service marks, designs, whether registered or unregistered) in the Site and Service (subject to clause 4.4 below) information content on the Site or accessed as part of the Service, any database operated by us and all the Site design, text, graphics, software, photos, video, music, sound, and all underlying source code and software shall remain our property (or that of our licensors). You shall not, and shall not attempt to, obtain any title to any such intellectual property rights. All rights are reserved.
4.2 You may not copy, modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the material referred to in clause 4.1, in whole or in part, except as expressly permitted by this Agreement.
4.3 You may download or copy the material from the Site for your own personal use only, provided that you keep intact all and any copyright and proprietary notices.
4.4 Title, ownership rights and intellectual property rights in and to the content accessed using the Service is the property of the applicable content owner or Merchant and may be protected by applicable copyright or other law. This Agreement gives you no rights to such content.

5. OUR SERVICE AND LIABILITY

5.1 No warranty: My Staff Shop is provided without any warranty or condition, whether express, implied or statutory. In particular we make no warranty or representation that the Service and/or the Site will meet your requirements, that it will be fit for a particular purpose or that it will be compatible with all systems. It is your responsibility to ensure that any items or information available through the Site meet your specific requirements.
5.2 Changes and removal of Merchants: On occasion we will remove or amend offers or promotions provided by Merchants.
5.3 Viruses: We do not give any warranty that the Site or the Service are free from viruses or anything else which may have a harmful effect on any technology.
5.4 Errors and omissions: We are not liable for any errors or omissions. We reserve the right to change, modify, substitute, suspend or remove without notice, any information or item or Service on the Site from time to time should we have the need to do so.
5.5 Interruption to the Service: We will do our utmost to ensure that availability of the Service will be uninterrupted and that transmission will be error free. However this cannot be guaranteed. Your access to the Service may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services. We will attempt to limit the frequency and duration of any such suspension or restriction.
5.6 What we are not liable for: We will not be responsible for (1) losses that were not caused by any breach on our part, or (2) any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure), or (3) any indirect or consequential losses that were not foreseeable to both you and us when you commenced using the Service.
5.7 Limits to liability: If, notwithstanding the other provisions of this Agreement, we are found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site or the Service, our liability shall in no event exceed the greater of (1) the total of any Membership Fees paid in the six months prior to the date of the initial claim made against us or (2) £50. This limit reflects the level of the Membership Fee and is part of the bargain between you and us.
5.8 Matter beyond our control: we will not be responsible for any delay or failure to provide the Service if the delay or failure arises from causes beyond our reasonable control.
5.9 Links to other sites: where the Site contains links to third party sites and to resources provided by third parties (together "Other Sites"), those Other Sites are merely linked to provide information only and are solely for your convenience. We have no control over and have no responsibility for Other Sites or for the content or products of Other Sites and we accept no responsibility for any loss or damage that may arise from your use of them.
5.10 Non exclusion: Nothing in these Terms limits or excludes our responsibility for fraudulent representations made by us or for death or personal injury caused by our negligence or wilful misconduct.

6. GENERAL

6.1 No Partnership: Nothing in this Agreement shall be construed as creating a partnership, joint venture or agency relationship between you and us.
6.2 No other terms: Except as expressly stated in this Agreement all warranties, conditions and other terms, whether express or implied, by statute, common law or otherwise, are hereby excluded to the fullest extent permitted by law.
6.3 Severability: If any provision of this Agreement is held to be unlawful, invalid or unenforceable, that provision shall be deemed to be severed and where capable the validity and enforceability of the remaining provisions of the Agreement shall not be affected.
6.4 Governing Law: This Agreement shall be interpreted according to the laws of England and the Courts of England and Wales shall have exclusive jurisdiction for any legal claim.
6.5 No waiver: No waiver by us of any default of yours under this Agreement shall operate or be construed as a waiver by us of any future defaults, whether of a like or different nature.
6.6 Notices: Unless otherwise stated in this Agreement, notices to be given by either party shall be in writing and delivered by electronic mail to the address you supplied to us at Registration or to us at the address in our contact details (as the case may be).

7. DEFINITIONS

In this Agreement terms which begin with a capital letter are defined as follows:
7.1 "Account" means collectively the personal information, payment information and credentials used by Members to access the Service;
7.2 "Installation" means all the computer hardware and software and any other machinery and equipment operated in conjunction with it and used by us to provide the Service;
7.3 "Members" means any authorised user of the Site;
7.4 "Membership Fee" means any subscription payable by you for the Service;
7.5 "Merchant" means a seller of goods and/or services offered through My Staff Shop;
7.6 "Merchant Products/Services" means the discounted offers, products and services advertised by Merchants through the Site;
7.7 "Register" means to create an account on the Site and "Registration" means the action of creating an account;
7.8 "Service" means all or any of the Services provided by Us via the Site;
7.9 "Site" means our website and includes all web pages controlled by us
